Sonrai Referral Program – Terms and Conditions

1. Overview

The Sonrai Security Referral Program (“Program”) is designed to reward affiliates who refer qualified individuals (“Referees”) to Sonrai Security, Inc. (“Sonrai”). By participating in the Program, you (“Affiliate”) agree to comply with the following terms and conditions.

2. Eligibility Requirements

To qualify as an Affiliate under this Program, you must meet the following criteria:

• Company Approval: It is the responsibility of the Affiliate and Referee to comply with any internal company policies regarding participation in referral programs or the receipt of incentives.
• Previous Use of Sonrai Products: You must have previously used Sonrai’s Cloud Permissions Firewall. This can include either participation in a free trial, promotion, or as a contracted customer.

3. Payout Requirements

• Meeting Requirement: The referral incentive is only payable if the meeting that your referee scheduled is actually held.
• Referee Qualifications:
  • The referee must hold a title relevant to Sonrai’s Ideal Customer Profile (“ICP”) as defined below in Section 7 and the referee must have internal buying authority within their organization, meaning they have the capability to influence or make decisions regarding purchasing software like Sonrai’s products.
  • Referee cannot be in the same company as the Affiliate
  • Referee may be disqualified if determined that 1) Referee’s company is a current Sonrai customer, 2) Referee’s company is in an active sales opportunity with Sonrai, 3) More than 1 Referee has been submitted for the same company
• Meeting Details: The meeting your referee books with the Sonrai Team will be a 45-minute meeting with a technical cloud security expert and  the sales rep for the referee’s account.

4. Referral Program Offers

Offer to Affiliate:

• Initial Meeting Payment: You will receive $500 if the meeting scheduled for your referee that meets referee qualifications is held as planned.  The meeting must occur before December 31, 2025.
• Contracted Customer Payment: You will receive an additional $1,000 if the referee’s company becomes a contracted customer of Sonrai with a minimum of a $25,000 annual contract.  The customer contract must be signed by December 31, 2025.

Offer to Referee:

• Exclusive Meeting: Referees will be offered an exclusive meeting with a technical cloud security expert at Sonrai Security.

5. Payment Terms

Initial Meeting Payments will be made to the Affiliate within 30 days of the qualifying meeting being held.

Contracted Customer Payments will be made within 30 days of the referee’s company signing a contract with Sonrai Security. 

Payments will be in the form of a Visa gift card, and Affiliates may be responsible for any taxes applicable to the payment.

6. General Conditions

• Program Changes: Sonrai reserves the right to modify or terminate the Program at any time without notice. Any changes will not affect payments already earned before the change’s effective date.
• No Agency: Participation in the Program does not create any agency, partnership, or employment relationship between you and Sonrai.
• Personal Referral Only: This program is intended for personal, individual referrals only, and should not be presented or used as a formal endorsement, promotion, or communication on behalf of your employer or any company. Participants should ensure that referrals are made in their personal capacity and in compliance with any applicable employer policies.
• Confidentiality: Affiliates must maintain the confidentiality of any proprietary information disclosed as part of the referral process.
• Liability: Sonrai is not responsible for any technical failures, unauthorized interventions, or other issues that may prevent the proper execution of the Program. Sonrai reserves the right to disqualify any individual or cancel the Program if there is any evidence of tampering or other improper conduct at Sonrai’s sole discretion.
• Indemnification: By participating in the Program, Affiliates agree to indemnify and hold harmless Sonrai and its affiliates from any claims, liabilities, damages, or expenses arising out of their participation in the Program.
• Registration and Participation: Affiliates must register for the Program through a designated webpage on Sonrai’s website. Participation in the Program is by invitation only, and acceptance into the Program is at Sonrai’s sole discretion. Upon acceptance, Affiliates will receive a unique referral link that they must use to invite their network to book meetings directly with Sonrai.

7. Sonrai Security ICP

• Manager
• Director
• Senior
• VP

Relevant Job Titles:

• Cloud Operations (e.g., Director, VP, Manager, Engineer)
• Cloud Engineering (e.g., Director, VP, Architect, Engineer)
• Site Reliability Engineering (e.g., Manager, Director, Lead, Engineer)
• Cloud Security (e.g., CISO, Director, Manager, Architect, Engineer)
• Cyber Security (e.g., CISO, Director, Manager, Architect, Engineer)
• DevSecOps & DevOps (e.g., Director, Head, Engineer)
• SecOps (e.g., Head, Director)

8. Limitation of Liability

Sonrai is not responsible for any lost, late, incomplete, or misdirected submissions, or for any technical failures that may affect participation in the Program. Affiliates agree that any claims arising out of or relating to the Program shall be resolved individually, without resort to any form of class action, and in accordance with the laws of the State of New York, without regard to conflict of law principles.

9. Severability

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
